Terms of Service

1. Acceptance of Terms

By accessing or using RetainerHub ("the Service"), operated by RetainerHub ("we," "us," or "our") at retainerhub.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

By creating an account, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Description of Service

RetainerHub is a contract renewal management software-as-a-service (SaaS) platform designed for businesses. The Service allows users to track client contracts, set automated renewal reminders, monitor contract health, import data from spreadsheets, and manage their team's contract workflow.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. User Accounts and Responsibilities

To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and company name. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@retainerhub.io if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You may not share your account credentials with others or allow multiple individuals to use a single account. Each user on your team must have their own account under your workspace.

4. Subscription and Billing

RetainerHub offers paid subscription plans on a monthly or annual basis. By subscribing to a plan, you authorize us to charge the applicable fees to your payment method through our payment processor, Stripe. All fees are quoted in US Dollars.

No Refunds. All subscription payments are non-refundable. If you cancel your subscription, you will continue to have access to the Service for the remainder of your current billing period, but no refund will be issued for the unused portion.

Cancellation. You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your account will be downgraded and you will lose access to paid features.

Plan Changes. You may upgrade or downgrade your subscription plan at any time. Changes will take effect at the start of your next billing period unless otherwise stated.

Price Changes. We reserve the right to change our subscription prices. If we change prices, we will provide at least 30 days' notice before the change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service in any way that violates any applicable local, state, national, or international law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
• Upload or transmit malicious code, viruses, or any other harmful technology.
• Use the Service to store or transmit content that is illegal, defamatory, or infringes on the rights of others.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or redistribute the Service without our written permission.

6. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content, is owned by RetainerHub and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of all data and content you upload to the Service ("Your Data"). By uploading Your Data, you grant us a limited license to host, store, and process it solely for the purpose of providing the Service to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that any data you upload to the Service complies with all applicable laws, including data protection regulations. You must have the necessary rights and consents to upload any personal data belonging to your clients or contacts.

8. Limitation of Liability

To the maximum extent permitted by applicable law, RetainerHub and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability.

Our total cumulative liability to you for all claims related to the Service shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant that the results obtained from the use of the Service will be accurate or reliable. You use the Service at your own risk.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, a breach of these Terms, a request by law enforcement, or extended periods of inactivity.

You may delete your account at any time through your account settings. Upon account deletion, all your data will be permanently removed from our systems within 30 days in accordance with our Privacy Policy.

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Louisiana.
